Agreement to these terms

These Terms & Conditions ("Terms") govern your access to and use of smallbatchagency.com and any content, features, or services offered on or through it (collectively, the "Site"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

These Terms are a contract between you and Small Batch Agency ("Small Batch," "we," "us," or "our"), a limited liability company organized under the laws of the State of Nebraska.

What the Site is

The Site is an informational resource about Small Batch Agency and the marketing consulting services we offer. Nothing on the Site constitutes an offer to enter into a services agreement. Any client engagement is governed by a separate signed engagement letter or master services agreement, which supersedes any inconsistent statement on the Site.

Permitted use

You may access and use the Site for lawful personal and business purposes. You agree not to:

Use the Site in any way that violates applicable law or these Terms.
Copy, reproduce, republish, or exploit any part of the Site for commercial purposes without our written permission, except as expressly permitted in Section 4.

Interfere with, disrupt, or overload the Site or any network connected to it.

Intellectual property

All content on the Site, including text, graphics, logos, images, and the Small Batch Agency name and marks, is owned by Small Batch Agency or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your personal or internal business use. This license does not permit reproduction, distribution, public display, or creation of derivative works. Any other use requires our prior written consent.

Your submissions

If you submit information through the Site (for example, via a contact form, an email inquiry, or a subscription), you represent that the information you provide is accurate. You grant us the right to use that information to respond to you and, where applicable, to send you communications you have opted into.

Do not submit anything you consider confidential through the Site. If you need to share confidential information, contact us to arrange a secure alternative.

We do not warrant that the Site will be uninterrupted or error-free, that defects will be corrected, or that the Site or the servers that make it available are free of viruses or other harmful components.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SMALL BATCH AGENCY, ITS OWNERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In any event, our total liability for all claims arising out of or related to the Site will not exceed one hundred U.S. dollars ($100). Some jurisdictions do not allow the exclusion or limitation of certain damages, so parts of this section may not apply to you.

You agree to defend, indemnify, and hold harmless Small Batch Agency and its owners, employees, and contractors from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any third-party right.

Governing law and disputes

These Terms are governed by the laws of the State of Nebraska, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Site will be resolved exclusively in the state or federal courts located in Nebraska, and you consent to the personal jurisdiction of those courts.

Changes to these terms

We may update these Terms from time to time. When we do, we will update the effective date at the top of this document. Continued use of the Site after changes take effect constitutes acceptance of the updated Terms.

Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including violation of these Terms. The sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnification, and governing law.

Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.
